1. Acceptance of Terms
By accessing or using MITRO TRANS services and website, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
2. Service Description
MITRO TRANS provides transportation and logistics services, including:
- Freight matching and dispatch services for owner-operators
- Load coordination and logistics support
- Payment processing and settlement services
- Safety compliance assistance
3. Eligibility Requirements
To partner with MITRO TRANS as an owner-operator, you must:
- Hold valid operating authority (MC number) or operate under our authority
- Maintain current CDL and required endorsements
- Carry adequate insurance coverage (minimum $1,000,000 liability, cargo insurance as required)
- Maintain satisfactory safety ratings with FMCSA
- Comply with all DOT, FMCSA, and state regulations
- Pass background checks and verification processes
4. Partner Application Process
Application submission does not guarantee approval or partnership. We reserve the right to:
- Verify all submitted information
- Conduct background checks and safety reviews
- Approve, reject, or request additional information for any application
- Terminate partnerships at our discretion
5. Owner-Operator Obligations
As an owner-operator partner, you agree to:
- Provide accurate and complete information
- Maintain valid licenses, permits, and insurance
- Comply with Hours of Service (HOS) regulations
- Maintain equipment in safe operating condition
- Follow all load instructions and delivery requirements
- Communicate promptly regarding load status
- Report accidents, incidents, or compliance issues immediately
6. Rates and Payments
- Rates are negotiated on a per-load basis
- Payment terms are typically net 30 days from delivery
- Detention, layover, and accessorial charges must be agreed upon in advance
- Deductions may apply for cargo claims, fuel advances, or other advances
- All settlements are subject to completion of required paperwork (POD, BOL, etc.)
7. Liability and Insurance
- Owner-operators are responsible for cargo in their possession
- Cargo claims must be reported within 24 hours
- Adequate insurance coverage must be maintained at all times
- MITRO TRANS is not liable for owner-operator negligence or equipment failure
- Each party indemnifies the other for their own regulatory violations
8. Compliance and Safety
All parties must comply with:
- Federal Motor Carrier Safety Regulations (FMCSR)
- Department of Transportation (DOT) requirements
- Hours of Service (HOS) regulations and ELD requirements
- Drug and alcohol testing requirements
- Hazardous materials regulations (if applicable)
- State and local transportation laws
9. Load Assignments
- Load assignments are made at MITRO TRANS discretion
- Acceptance of loads is voluntary
- Once accepted, loads must be completed as agreed
- Service failures may result in partnership termination
10. Intellectual Property
All website content, logos, and materials are owned by MITRO TRANS. You may not copy, reproduce, or distribute our content without permission.
11. Termination
Either party may terminate the partnership with written notice. MITRO TRANS reserves the right to terminate immediately for:
- Safety violations or poor safety ratings
- Insurance lapses
- Fraudulent activity or misrepresentation
- Regulatory violations
- Breach of these terms
12. Independent Contractor Relationship
Owner-operators are independent contractors, not employees. You are responsible for your own taxes, insurance, and business expenses.
13. Limitation of Liability
MITRO TRANS is not liable for:
- Consequential, indirect, or incidental damages
- Lost profits or business opportunities
- Delays due to circumstances beyond our control
- Third-party claims arising from owner-operator actions
14. Dispute Resolution
Disputes will be resolved through:
- Good faith negotiation between parties
- Mediation if negotiation fails
- Binding arbitration under American Arbitration Association rules
- Governing law of [State] applies
15. Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, labor disputes, or other force majeure events.
16. Modification of Terms
We may modify these terms at any time. Continued use of our services after changes constitutes acceptance. Material changes will be communicated via email or website notice.
17. Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
18. Entire Agreement
These Terms, along with any signed agreements, constitute the entire agreement between parties and supersede all prior agreements.
